These Terms & Conditions of Service ("Terms") govern all transportation services provided by Ideal Trans LLC ("Ideal Trans LLC," "Company," "we," "us," or "our"), a Pennsylvania-based motor carrier providing interstate freight transportation. These Terms are binding on all customers ("Customer," "you," or "your") using our services and are publicly available on our website. By requesting or receiving services from Ideal Trans LLC, you agree to these Terms. Any amendments must be documented in writing and signed by an authorized representative of Ideal Trans LLC.
Unless explicitly agreed otherwise, these Terms supersede any conflicting provisions in Customer-provided documents, such as shipping orders or bills of lading.

1. Definitions
● Carrier: Ideal Trans LLC, a motor carrier transporting loads directly and not acting as a broker.
● Customer: Any entity or individual contracting Ideal Trans LLC for transportation services, including but not limited to brokers, shippers, consignees, receivers, or other parties involved in providing or receiving transportation services.
● Prohibited Items: Goods listed in Section 10 that cannot be transported.
● Factoring Company: The third-party financial institution (RTS Financial) managing billing and payment processing for Ideal Trans LLC.
2. Scope of Services
Ideal Trans LLC provides motor carrier services for the transportation of freight, including perishable goods requiring temperature control, provided such requirements are disclosed before contracting. Ideal Trans LLC does not provide brokerage services and does not subcontract or hire other carriers to transport goods.
3. Bills of Lading and Shipping Documents
● Customers must prepare accurate and complete bills of lading for each shipment.
● Ideal Trans LLC reserves the right to correct or reject bills of lading that contain errors or omissions.
● These Terms supersede any conflicting provisions in bills of lading or other shipping documents unless explicitly agreed upon in writing.
4. Freight Descriptions and Packaging
● Accurate Descriptions: Customers must provide precise descriptions of the freight, including weight, dimensions, and any special handling or transportation requirements, such as temperature control.
● Proper Packaging: Freight must be packaged in compliance with National Motor Freight Classification (NMFC) guidelines to withstand the ordinary rigors of transportation.
● Non-Compliant Shipments: Ideal Trans LLC is not liable for damages arising from improperly packaged or inaccurately described freight.
5. Cargo Securement and Compliance with FMCSA Rules
● All cargo must be properly secured in accordance with Federal Motor Carrier Safety Administration (FMCSA) Cargo Securement Rules (49 CFR Parts 392 and 393).
● Shippers must ensure that freight is loaded, blocked, braced, and secured to meet federal and state safety standards.
● Improper securement releases Ideal Trans LLC from liability for cargo damage or loss caused by non-compliance.
6. Cargo Loss, Damage, and Claims
1. Filing Claims: Claims for cargo loss or damage must be filed in writing. All claims must include supporting documentation, such as the bill of lading, proof of damage, and repair or replacement estimates.
2. Retention of Packaging: The original shipping carton, containers, and contents must be retained by the consignee for inspection. All packaging and containers must be made available for inspection by Ideal Trans LLC or its insurance company.
3. Condition on Delivery: Acceptance of goods by the recipient without noting damage on the delivery notice shall be conclusive evidence that the goods were delivered in good condition and without damage.
4. Payment of Freight Charges: The filing of a claim does not relieve the party responsible for its obligation to pay freight charges.
5. Timely Submission: All freight cargo claims should be submitted immediately to ensure a timely resolution.

7. Customer Obligations
● Compliance: Customers must comply with all federal, state, and local regulations, including those governing the transportation of perishable goods and temperature-controlled freight.
● Accurate Information: Provide precise details about shipments, including any special handling or regulatory requirements.
● Packaging and Labeling: Ensure freight is properly packaged, labeled, and secured for transportation.
8. Booking, Payment, and Factoring Terms
● Factoring Company Billing: All invoices are billed through RTS Financial, the factoring company for Ideal Trans LLC. Payments must be made to RTS Financial unless otherwise agreed upon in writing.
● Direct Payments to Ideal Trans LLC: If the Customer and Ideal Trans LLC agree to direct payment outside of the factoring company, a release letter from RTS Financial must be obtained, authorizing both parties to issue and receive payments directly.
● Disputes: Disputed charges must be reported in writing within 15 days of invoice receipt, accompanied by supporting documentation.
9. Detention, Delays, and Additional Charges
● Detention Charges: Customers are granted 2 (Two) hours of free time for loading/unloading. After this period, detention is charged at $45/hour for a team drivers and $35 for a solo driver
● Layovers: Layovers caused by Customer delays are billed at as per agreement.
● Other Charges: Additional charges may apply for special services, including redelivery, reconsignment, or storage.
10. Prohibited Items
Ideal Trans LLC does not transport the following:
1. Hazardous Materials:
● Ideal Trans LLC does not accept hazardous materials requiring placarding or compliance with the Hazardous Materials Transportation Act (49 U.S.C. §5101 et seq.) or 49 CFR Parts 100-185.
● Examples include explosives, flammable substances, corrosives, poisons, radioactive materials, or any other hazardous materials requiring special handling.
2. Other Prohibited Items:
● Precious items such as jewelry, cash, or artwork.
● Live animals or restricted goods under federal or state laws.
If prohibited items are tendered for shipment without prior disclosure, Ideal Trans LLC reserves the right to refuse, return, or dispose of the goods at the Customer's expense.
11. Transportation of Perishable Goods
Ideal Trans LLC transports perishable goods requiring temperature control, provided the Customer explicitly notifies us of such requirements before contracting. Temperature control requirements must be detailed on the bill of lading. Failure to provide proper instructions releases Ideal Trans LLC from liability for temperature-related claims.
12. Liability Limitations
● Consequential Damages: Ideal Trans LLC is not liable for consequential, incidental, or punitive damages, including loss of profits or market penalties.
● Declared Value: Liability is capped at the declared value or actual loss, whichever is less, but not exceeding $250,000 unless otherwise agreed.
13. Insurance Coverage
● Ideal Trans LLC maintains cargo and liability insurance as required by federal and state regulations.
● Additional insurance coverage is available upon written request and payment of applicable fees.
14. Force Majeure
Ideal Trans LLC is not liable for delays, damages, or failure to perform services caused by events beyond its control, including weather, labor strikes, government actions, or acts of God.
15. Indemnification and Hold Harmless Provisions
Customers agree to indemnify and hold Ideal Trans LLC harmless from any claims, damages, fines, or expenses arising from:
● Breach of these Terms.
● Improper packaging, labeling, or mis declared shipments.
● Regulatory violations by the Customer, Consignor, or Consignee.
16. Dispute Resolution and Governing Law
● Arbitration: Any disputes will be resolved through binding arbitration in Pennsylvania.
● Governing Law: These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable federal laws.
17. Termination of Services
● Ideal Trans LLC reserves the right to terminate services immediately for non-compliance with these Terms, non-payment, or illegal activity.
● Customers remain liable for charges incurred up to the termination date.
18. Miscellaneous Provisions
● Entire Agreement: These Terms constitute the entire agreement between Ideal Trans LLC and the Customer, superseding all prior communications.
● Severability: If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in effect.
● No Waiver: Failure to enforce any provision does not constitute a waiver of rights.
